You represent that you are legally authorized to share medical information necessary for documentation and coding.

3. Use of Services

a) Permitted Use

Services must be used only for legitimate medical documentation, transcription, and coding purposes.

You agree to provide accurate and lawful information.

b) Prohibited Use

You may not use our Services to:

• Violate any applicable laws, including HIPAA and GDPR.
• Misuse, reverse-engineer, or tamper with our AI technology.
• Submit fraudulent, harmful, or misleading data.
• Share login credentials or allow unauthorized use.

4. Data Privacy & Security

We process and protect data in compliance with HIPAA, GDPR, and industry standards.

Users are responsible for safeguarding their login credentials and ensuring PHI is shared only by authorized personnel.

Data ownership remains with the healthcare provider or organization; Scribe AI is a business associate under HIPAA.

5. Intellectual Property

All software, algorithms, designs, documentation, and branding related to Scribe AI remain our exclusive property.

You are granted a limited, non-transferable, non-exclusive license to use the Services as intended.

Unauthorized reproduction, distribution, or modification is prohibited.

6. Service Availability & Limitations

We strive for continuous uptime but do not guarantee uninterrupted Services.

Temporary suspensions may occur due to maintenance, upgrades, or unforeseen circumstances.

We are not liable for damages caused by downtime, system errors, or third-party service interruptions.

7. Payment & Subscription (if applicable)

Fees, billing cycles, and payment terms will be outlined in your service agreement.

Failure to make timely payments may result in suspension or termination of Services.

8. Disclaimer of Warranties

Services are provided "as is" and "as available."

While Scribe AI uses advanced AI and compliance protocols, we do not guarantee 100% accuracy of transcription, coding, or clinical documentation.

Final responsibility for clinical decisions and billing accuracy rests with the healthcare provider.

9. Limitation of Liability

To the maximum extent permitted by law:

• Scribe AI is not liable for indirect, incidental, or consequential damages, including data loss, billing disputes, or compliance penalties.
• Our total liability shall not exceed the fees paid for Services in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Scribe AI, its affiliates, employees, and contractors from any claims, damages, or liabilities arising from your misuse of Services, violation of laws, or breach of these Terms.

11. Termination

We may suspend or terminate access if you violate these Terms or applicable laws.

You may terminate by discontinuing use of Services.

Certain provisions (e.g., data ownership, liability, indemnity) survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

Any disputes will be resolved through binding arbitration or courts located in India, unless otherwise agreed.
